Client Services Agreement

Effective upon payment of the Service Fee

BY USING S.O.'S SERVICES, YOU SIGNIFY YOUR AGREEMENT TO THIS AGREEMENT, AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE WITH ANY OF THESE, YOU SHOULD NOT USE S.O.'S SERVICES.

THIS AGREEMENT BECOMES EFFECTIVE BETWEEN YOU AND S.O. (socurated.co) UPON YOUR PAYMENT OF THE SERVICE FEE DESCRIBED IN SECTION 3.

1. Parties

This Agreement is between you (the client) and S.O. (socurated.co), a curated matchmaking service.

2. Services

S.O. agrees to provide the following matchmaking and introduction services ("Services") to you, following your payment of the Service Fee to S.O.:

  • Sourcing of Introduced Match Candidates from S.O.'s network.
  • Facilitation of introductions between you and Introduced Match Candidates.
  • Ongoing feedback collection and match refinement throughout the Term.

An "Introduced Match Candidate" is defined as a person whose profile is shown to you by S.O. within the Term.

S.O. does not guarantee romantic compatibility, relationship outcomes, or the behaviour of any Introduced Match Candidate. S.O. is not an escort service or therapy provider.

We reserve the right to refuse any application or terminate your participation in S.O.'s services at our sole discretion and without giving a reason. We shall not be liable to you for any such refusal or termination.

3. Fees & Payment

Service Fee: If you decide to use S.O.'s Services, as defined above, you agree to pay a one-time fee of $250 CAD (the "Service Fee"). Payment is due in full prior to the commencement of Services, via payment link provided by S.O.

The Service Fee is non-refundable except as expressly set out in Section 4 (Satisfaction Guarantee) below.

4. Satisfaction Guarantee & Refund Policy

S.O. stands behind the quality of its introductions. The following guarantee applies:

Guarantee: If you do not reach a third (3rd) date with any Introduced Match Candidate within two (2) years of the payment date, you are entitled to a full refund of the Service Fee.

4.1 Definition of "Third Date"

A "third date" is defined as three (3) separate, planned meetings between you and the same Introduced Match Candidate, each occurring on a different calendar day and voluntarily attended by both parties.

4.2 Client Reporting Obligation

It is your sole responsibility to self-report date outcomes to S.O. via email or written communication. S.O. relies on your honest and timely reporting to track progress under this guarantee.

4.3 Refund Claim Process

To claim a refund, you must submit a written refund request to S.O. at hello@socurated.co within thirty (30) days of the expiry of the two-year Term. S.O. will process verified refunds within fourteen (14) business days of receipt.

4.4 Conditions That Void the Guarantee

The guarantee is void and no refund will be issued if any of the following apply:

  • You were unresponsive to S.O. for more than fourteen (14) consecutive days during the two-year Term.
  • You were abusive, dishonest, or engaged in misconduct toward an Introduced Match Candidate.
  • You misrepresented material information (relationship status, intentions, personal details) during onboarding or at any point during the Term.
  • You failed to report the occurrence of a date with an Introduced Match Candidate.
  • You enter an exclusive romantic relationship or willingly withdraw from S.O.'s services.
  • You request a refund outside the thirty (30) day claim window described in Section 4.3.

5. Client Obligations

You agree to:

  • Provide accurate, honest, and complete information during onboarding and throughout the Term.
  • Treat all Introduced Match Candidates with respect, integrity, and professionalism.
  • Provide candid post-introduction feedback to enable match refinement.
  • Notify S.O. promptly if you enter an exclusive relationship or otherwise no longer wish to receive introductions.

S.O. may, at its sole discretion, look at publicly available sources (for example, a search engine or a public professional profile) and compare what is there with information you have provided, and may raise any apparent discrepancy with you directly. S.O. does not verify, and has no obligation to verify, information provided by you or by any Introduced Match Candidate. Any such comparison is limited, occasional, and is not identity verification, a background check, a criminal record check, or screening of any kind, and S.O. makes no representation that information provided by any person is accurate or has been checked. Section 8 continues to apply in full.

6. Confidentiality

You agree to indefinitely maintain the strict confidentiality of any personal, identifying, or sensitive information shared in connection with this Agreement, including but not limited to the identities, contact information, and personal details of Introduced Match Candidates. You agree not to share, post, or disclose the identity or personal details of any Introduced Match Candidate on social media, public forums, or to third parties without the express written consent of that individual. This obligation survives the termination of this Agreement.

7. Non-Disparagement

You agree not to publicly disparage Introduced Match Candidates.

If you are dissatisfied with S.O.'s services, you agree to contact S.O. immediately via email at hello@socurated.co (i.e. before voicing any complaints with S.O. publicly) so that we may attempt to fix any problems that led to your dissatisfaction.

S.O. welcomes clients sharing honest feedback about their experience with S.O.'s services. At the same time, you agree not to make or publish statements about S.O., our team, or any current or prospective match that are knowingly false, defamatory, harassing, threatening, invasive of privacy, or that disclose confidential or personally identifying information that is not your own to share. If you make a public statement about S.O. or its services, S.O. reserves the right to respond in a factually accurate manner to protect its interests, reputation, and legal rights, including by disclosing factual information related to our work together that we believe is reasonably necessary to correct materially false or misleading statements or to defend itself against public accusations, subject to applicable law. This clause does not prevent you from providing honest feedback to S.O. or from pursuing legal remedies available to you.

8. Limitation of Liability

S.O.'s total liability to you under this Agreement shall not exceed the Service Fee paid by you ($250 CAD). S.O. is not liable for any indirect, incidental, emotional, or consequential damages arising from the use of its services or from interactions with Introduced Match Candidates. You acknowledge that S.O. cannot guarantee the behaviour, intentions, representations, or future actions of any Introduced Match Candidate. You accept that all personal interactions and meetings occur voluntarily and at your own discretion. S.O. shall not be responsible or liable for the conduct or actions of any individual before, during, or after an introduction or meeting.

You acknowledge that S.O. does not:

  • Verify all information provided by users.
  • Guarantee that any user has no criminal history.
  • Guarantee the conduct, intentions, identity, or compatibility of any user.
  • Guarantee, express or implied, compatibility, safety, or the outcome of any introduction.

You agree to take reasonable precautions in all interactions, including when meeting in person.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, S.O. SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER ARISING OUT OF OR RELATING TO YOUR INTERACTIONS WITH OTHER USERS, INCLUDING WITHOUT LIMITATION:

  • Bodily injury.
  • Emotional distress.
  • Fraud or misrepresentation.
  • Harassment or misconduct.
  • Any other damages resulting from communications or meetings with users.

You agree to hold harmless and release S.O. from any and all liability, claims, demands, or causes of action arising from or related to:

  • Any physical, emotional, psychological, or financial harm you may experience as a result of S.O.'s services.
  • Your reliance on advice, recommendations, or matchmaking decisions made by S.O.

S.O. does not conduct criminal background checks on Introduced Match Candidates and is not responsible for the conduct, representations, or actions of any individual introduced through its services. You agree to exercise your own due diligence.

9. Term & Termination

Term: This Agreement begins on the Payment Date and continues for two (2) years, unless terminated earlier.

Client Termination: You may terminate this Agreement at any time by written notice to S.O. Termination does not entitle you to a refund.

S.O. Termination: S.O. may terminate this Agreement immediately, without refund, if you violate any obligation set out in Section 5 or engage in conduct that, in S.O.'s reasonable judgment, is harmful to an Introduced Match Candidate or S.O.'s team.

You understand that abusive behaviour, harassment, dishonesty, repeated cancellations, unexplained no-shows, inappropriate conduct, disrespectful communication, or repeated failure to respond during the matchmaking process may result in the immediate suspension or termination of S.O.'s services to you without notice.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising under this Agreement shall first be subject to good-faith negotiation between the parties.

11. Acceptance

S.O. reserves the right to update these terms at any time. Continued use of S.O.'s services following notice of an update constitutes acceptance of the revised terms. By remitting payment to S.O., you acknowledge you have read, understood, and agree to be bound by this Agreement in its entirety. No physical signature is required.
